What happens after you sign?
Once AM Resourcing receives the executed NCNDA, we run OFAC screening on all parties and immediately share full program specs, pricing indications, and available supply for your requested commodity. We respond within 24 hours — typically same business day.
Governing Law & Arbitration: This Agreement is governed by the laws of the State of Texas. All disputes are resolved by binding ICC arbitration in Dallas, Texas. The losing party bears the other party's legal fees.

This Non-Circumvention, Non-Disclosure & Confidentiality Agreement (“Agreement”) is entered into as of the Effective Date above by and between the parties identified below. By signing, all parties agree to be fully and legally bound by every term of this Agreement.

Agreement Terms
1. Non-Disclosure — Each party agrees to keep all information shared by the other parties strictly confidential. This includes buyer and seller identities, pricing, deal terms, shipping details, commission structures, and any information a reasonable person would treat as private. No party may share this with any third party without prior written consent. This obligation survives termination for two (2) years.
2. Non-Circumvention — No party may contact, negotiate with, or do business with any buyer, seller, supplier, broker, or counterparty introduced through this Agreement without prior written consent of the introducing party — and without ensuring that party participates on fair terms. This applies for two (2) years from any introduction, regardless of whether this Agreement is still in effect.
3. What Counts as Circumvention — Circumvention includes: (a) contacting an introduced party directly without consent; (b) routing a deal through a related company or affiliate to avoid this Agreement; or (c) any act designed to exclude AM Resourcing or any other party from a deal that originated through this relationship.
4. Consequences of Breach — The breaching party shall pay: (a) all profits or commissions earned on the circumvented transaction; (b) liquidated damages equal to three times (3x) the estimated profit or commission; and (c) all reasonable attorneys' fees. These remedies are in addition to any other rights available under applicable law.
5. Commission Transparency — All seller-side commissions and broker fees must be fully disclosed to AM Resourcing before execution of any Sales & Purchase Agreement (SPA). The standard buyer-paid seller-side commission pool is 2% of gross contract value, shared among all seller-side parties. AM Resourcing’s buyer-side compensation is separate and independent.
6. No Obligation to Transact — Signing this Agreement does not obligate any party to enter into any transaction. It creates a protected framework for discussing potential business opportunities only.
7. Term & Survival — This Agreement is effective from the date of last signature and remains in force for two (2) years. Non-disclosure and non-circumvention obligations survive termination for an additional two (2) years — providing up to four (4) years of total protection.
8. Governing Law & Disputes — This Agreement is governed by the laws of the State of Texas, U.S.A. Any dispute shall be resolved by binding arbitration in Dallas, Texas, under ICC International Arbitration Rules. Language: English. The losing party bears the winning party’s reasonable attorneys’ fees and arbitration costs.
9. Electronic Signatures — This Agreement may be executed electronically or by PDF. Each signed copy is an original; together they form one binding agreement. DocuSign, AdobeSign, and scanned wet signatures are all accepted.
10. Entire Agreement — This is the complete agreement between the parties on this subject. Any modification must be in writing and signed by all parties.
11. OFAC Compliance — All parties represent they are not listed on the OFAC SDN List, U.S. Consolidated Screening List, or BIS Entity List, and agree to notify AM Resourcing immediately of any change in their sanctions status.
